Terms of Service
Last updated: November 3, 2026
These Terms of Service (the "Terms") are a binding agreement between LapseHawk ("LapseHawk", "we", "us" or "our") and the business or other entity that creates an account or uses the LapseHawk website, web application or mobile application (together, the "Service"), and each person who uses the Service on its behalf ("Customer", "you" or "your"). PLEASE READ SECTION 22 CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND WAIVES CLASS ACTIONS AND JURY TRIALS.
1. Acceptance
By checking the box at sign-up, clicking to accept, or accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you accept on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Service.
2. Eligibility and business use
The Service is offered for business and professional use only and not for personal, family or household purposes. You must be at least 18 years old and able to form a binding contract. You are responsible for ensuring that your use of the Service complies with the laws that apply to you.
3. Accounts and security
You must provide accurate and complete information and keep it current. You are responsible for all activity under your account, for the users you invite and the roles you give them, and for keeping passwords and other credentials confidential. Notify us promptly at lapsehawk@gmail.com of any unauthorized access or security incident. We may require password changes or suspend access we reasonably believe is compromised.
4. Subscription, free trial, renewal and cancellation
Free trial. New accounts receive a 7-day free trial of the Service. No payment card is required to start a trial. At the end of the trial, continued use of features that add or change data requires a paid subscription; your existing data remains viewable.
Plans and fees. We currently offer (a) a monthly plan at $19.99 per user per month, (b) a yearly plan at $199.00 per user per year, and (c) an Unlimited plan at $9,500.00 per year for your company with no limit on the number of users. Per-user plans are billed for the number of user logins on your account. Current prices are shown on the Pricing page and at checkout.
Automatic renewal. SUBSCRIPTIONS RENEW AUTOMATICALLY at the end of each billing period (monthly plans renew every month; yearly and Unlimited plans renew every year) for the same period at the then-current price, and you authorize us and our payment processor to charge your payment method for each renewal, unless you cancel before the renewal date.
Cancellation. You may cancel at any time from the Billing page (Manage payment method) or by emailing lapsehawk@gmail.com. Cancellation takes effect at the end of the current paid period, and you keep access until then. FEES ARE NON-REFUNDABLE, AND WE DO NOT PROVIDE REFUNDS OR CREDITS FOR PARTIAL PERIODS, UNUSED USERS OR UNUSED TIME, INCLUDING ON YEARLY AND UNLIMITED PLANS, except where required by law.
Plan changes. If you switch plans or change the number of users, our payment processor may prorate charges or credits according to its standard practice, or the change may take effect at your next renewal, as shown at the time of the change.
Price changes. We may change prices on at least 30 days' notice by email or in the Service. Price changes take effect at your next renewal after the notice period. If you do not agree, you may cancel before the change takes effect.
Taxes. Fees exclude taxes. You are responsible for all sales, use, value-added and similar taxes, other than taxes on our net income.
5. Payment
Payments are processed by Stripe, Inc. and are subject to Stripe's terms and privacy policy. LapseHawk does not store full card numbers; we receive only limited information such as card brand, last four digits and payment status. If a payment fails, we may retry the charge, limit your account to read-only access, or suspend it until payment is made.
6. Your data
As between you and LapseHawk, you own all documents, files, data and content you or your users upload to or create in the Service, or that the Service retrieves from accounts you connect ("Customer Data"). You grant LapseHawk a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Data only as needed to provide, secure, maintain and support the Service and as described in the Privacy Policy. You represent that you have all rights and consents needed to upload and process Customer Data, including any personal information of your vendors, subcontractors, customers and employees. We may use aggregated, de-identified information about use of the Service to operate and improve it, provided it does not identify you or any individual.
7. AI processing and your responsibility for decisions
The Service uses artificial-intelligence models provided by third parties to read documents and to suggest information such as dates, amounts, insurers, limits, policy numbers, schedules and compliance results. AI OUTPUT MAY BE INCOMPLETE, OUT OF DATE OR WRONG. You are solely responsible for reviewing and verifying all output, including certificates of insurance, endorsements, permits, inspections, invoices, pay applications, lien waivers, schedules and compliance determinations, before relying on it or sharing it. The Service does not provide legal, insurance, accounting, tax, engineering or other professional advice, and it is not a substitute for review by a qualified professional or for reading the underlying documents.
8. AIA disclaimer
"AIA" and the names of AIA contract documents (including G702 and G703) are trademarks of The American Institute of Architects. LapseHawk is not affiliated with, endorsed by or sponsored by The American Institute of Architects. Documents generated by the Service in an "AIA-style" or "AIA format" layout are not official AIA documents, and you are responsible for whether a given format is acceptable to an owner, lender or other recipient.
9. Third-party services and integrations
The Service can connect to third-party services that you choose to use, such as Microsoft Outlook and OneDrive, Google Gmail and Drive, QuickBooks, WhatsApp, Stripe and email-delivery providers. Your use of each third-party service is governed by that provider's own terms and privacy policy, not these Terms. You authorize us to access and exchange data with each service you connect, within the permissions you grant, solely to provide the Service. We are not responsible for third-party services, their availability, or any change they make that affects the Service, and you can disconnect them at any time.
10. Emails and messages sent on your behalf
The Service can send emails and other messages that you initiate or enable, such as invoice emails, document requests and reminders to vendors and subcontractors, schedule emails to customers, and binder emails. These messages are sent on your behalf, and you are the sender for legal purposes. You are solely responsible for the recipients you choose, the content of each message, and having any consent required by law, and for complying with all applicable laws, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA) and state laws on electronic messages. Do not use the Service to send unsolicited marketing messages.
10A. SMS Terms
Program. "LapseHawk Text Messages" is run by LapseHawk. LapseHawk sends text messages on behalf of the property managers and contractors that use LapseHawk ("Customers") to their tenants and contacts. Messages cover pre-inspection visit requests, scheduling links and reminders, and inspection, access and building-compliance notices. When enabled, LapseHawk also texts its own users sign-in and verification codes and account alerts. Each message names the Customer it is sent for. These messages are not marketing.
Consent. We text only people who agreed to receive texts. Before a number is used for texting, the Customer must get that person's consent to receive text messages about their unit, building or work, and must keep a record of it. Examples: in the lease or application, or in a written or verbal request. Consent is not a condition of any purchase.
Frequency and cost. Message frequency varies. For a scheduled inspection, a tenant usually gets 1 to 3 messages: a request and up to two reminders. Message and data rates may apply.
Reply STOP to cancel at any time. You will get one confirmation and no further messages. Reply HELP for help, or contact us at lapsehawk@gmail.com or lapsehawk.com/#/contact.
Carriers are not liable for any delayed or undelivered messages.
Privacy. See our Privacy Policy at lapsehawk.com/privacy, Section 5A. We do not sell or share SMS opt-in data. Customers remain responsible for consent and for following the TCPA and other messaging laws, as described in Section 10. Program details: lapsehawk.com/sms.
11. Acceptable use
You will not, and will not permit anyone to: (a) use the Service in violation of law or the rights of others; (b) upload malware or content that is unlawful, infringing, or that you have no right to share; (c) attempt to gain unauthorized access to the Service, other accounts or our systems, or probe, scan or test their vulnerability; (d) interfere with or disrupt the Service, or impose an unreasonable load on it; (e) reverse engineer, decompile or copy the Service except as the law expressly permits; (f) resell, sublicense or provide the Service to third parties as a service bureau; (g) use the Service to build a competing product; or (h) use automated means to access the Service other than through features we provide.
12. Availability and support
We aim to keep the Service available and to fix problems promptly, but THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WE DO NOT GUARANTEE ANY LEVEL OF UPTIME. The Service may be interrupted for maintenance, upgrades, emergencies or reasons beyond our control. We may change, add or remove features, and we will try to give notice of changes that materially reduce core functionality.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAPSEHAWK AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT AI OUTPUT OR REMINDERS WILL BE ACCURATE OR TIMELY, OR THAT THE SERVICE WILL DETECT EVERY EXPIRED, MISSING OR NON-COMPLIANT DOCUMENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL LAPSEHAWK OR ITS OFFICERS, EMPLOYEES, AGENTS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR UNINSURED LOSSES, CLAIMS, PENALTIES OR DELAYS, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) LAPSEHAWK'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO LAPSEHAWK FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits apply to every theory of liability and even if a remedy fails of its essential purpose.
15. Indemnification
You will defend, indemnify and hold harmless LapseHawk and its officers, employees and agents from and against any third-party claims, and related losses, damages, fines, costs and reasonable attorneys' fees, arising out of or relating to: (a) Customer Data; (b) messages sent through the Service on your behalf; (c) your or your users' use of the Service in violation of these Terms or the law; or (d) your decisions about vendors, subcontractors, insurance, permits, payments or compliance.
16. Suspension and termination
We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, create a security or legal risk, or if required by law, and otherwise on 30 days' notice. You may stop using the Service and delete your account at any time from Settings → Data. On termination, your right to use the Service ends. For 30 days after termination (other than deletion you request), you may ask us to export your Customer Data, and you can download an export from Settings → Data before then. After that period we may delete Customer Data, except copies retained in backups for a limited time or as required by law. Sections 6 through 8, 13 through 15, and 17 through 27 survive termination.
17. Confidentiality
Each party will protect the other party's non-public business information that it receives in connection with the Service using reasonable care, use it only to perform under these Terms, and not disclose it except to its employees, contractors and service providers who need to know it and are bound by similar obligations, or as required by law. Customer Data is your confidential information. LapseHawk only accesses an account when needed to provide support or keep the service running.
18. Intellectual property and feedback
LapseHawk and its licensors own the Service, including all software, designs, text, graphics and trademarks, and all improvements to them. Except for the limited right to use the Service under these Terms, no rights are granted to you. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
19. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, notify you by email or in the Service, and we may ask you to accept them again. Changes take effect when posted unless the notice says otherwise. Continued use after changes take effect means you accept them.
20. Governing law
These Terms are governed by applicable U.S. federal law and, to the extent not preempted, the laws of the State of New Jersey, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
21. Informal dispute resolution
Before starting arbitration or any court proceeding, the party with a dispute must send the other a written notice describing the dispute and the relief requested (to LapseHawk at lapsehawk@gmail.com; to you at your account owner email). The parties will try in good faith to resolve the dispute informally for at least thirty (30) days after the notice is received. Any limitations period is tolled during that time.
22. Binding arbitration and class-action waiver
Agreement to arbitrate. Except as provided below, any dispute, claim or controversy arising out of or relating to these Terms or the Service, including their formation, interpretation, enforceability or arbitrability, will be resolved by final and binding individual arbitration. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
Rules and seat. The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect, before a single arbitrator. The seat of arbitration is Ocean County, New Jersey; hearings may be held there or by videoconference. The arbitrator may award any individual relief available in court, and judgment on the award may be entered in any court of competent jurisdiction.
Class-action and jury-trial waiver. YOU AND LAPSEHAWK EACH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PARTY OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. YOU AND LAPSEHAWK EACH WAIVE ANY RIGHT TO A JURY TRIAL.
Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies and stays there, and (b) seek temporary, preliminary or permanent injunctive relief in court to stop infringement or misappropriation of intellectual property or unauthorized access to or use of the Service.
Severability of the class waiver. If the class-action waiver above is found unenforceable as to any claim, then that claim (and only that claim) will be severed and heard in court, not in arbitration, after the arbitrable claims are resolved, and the rest of this Section 22 remains in effect.
23. Courts
For any claim that is not subject to arbitration, and for any action to compel arbitration or to confirm, vacate or enforce an arbitration award, you and LapseHawk consent to the exclusive jurisdiction of, and venue in, the state and federal courts located in the State of New Jersey, with venue in Ocean County, New Jersey where permitted.
24. Force majeure
Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, government action, failures of utilities, the internet or hosting, cloud or AI providers, or denial-of-service attacks.
25. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization or sale of all or substantially all of our assets or business. Any other attempted assignment is void.
26. Severability; waiver; entire agreement
If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any order or plan details shown at checkout, are the entire agreement between you and LapseHawk about the Service and supersede all prior agreements and understandings on that subject.
27. Notices
We may give notices by email to your account owner email, through the Service, or by posting on this website. Notices to LapseHawk must be sent to lapsehawk@gmail.com. Notices are effective when sent by email or posted, unless the law requires otherwise.
